These terms are the agreement between you and Technoledgy LLC, a California limited liability company doing business as Contexel, for using Contexel, a shared memory for AI apps. We wrote them in plain English. Please read them along with our Privacy Policy, which explains how we handle personal information.
The short version
Signing in to Contexel, or using it any other way, means you accept these terms. If you use it for an organization, you accept them for that organization.
What you save stays yours. We use it only to run Contexel for you. We don't sell it, and we don't use it to train AI models.
Contexel is in beta and free. It comes as it is, with no promise of uptime or support.
Don't store health records, payment card data, government ID numbers or other data the law says needs special handling.
You can stop at any time and take your data with you.

Who we are and this agreement
Contexel is run by Technoledgy LLC, a California limited liability company doing business as Contexel. In these terms, "Contexel", "we" and "us" mean that company, and "you" means the person using Contexel. Our postal address is 2108 N St #4624, Sacramento, CA 95816, USA.
These terms apply when you use contexel.ai, the Contexel console, the Contexel MCP server, or any AI app or agent connected to your Contexel account. By signing in or using Contexel, you agree to these terms. If you don't agree, don't use Contexel.
If you use Contexel for a company or other organization, you accept these terms on behalf of that organization, and you confirm that you have the authority to do so. "You" then also means that organization.
You must be at least 18 to accept these terms yourself. Someone younger may use Contexel only if they meet the minimum age in our Privacy Policy and a parent or guardian accepts these terms for them.
We give you permission to use Contexel under these terms, for as long as they apply. We keep all rights in the service itself, including its software, design and name.
Contexel is in public beta. That means:
No uptime promise: Contexel may have errors, be slow or be unavailable at times, and it could lose data. If losing something would hurt you, download your data regularly and keep your own copy.
No support promise: we try to answer questions, but we don't promise a response time.
Features can change: we may add, change or remove features, including ones you use, and change limits such as how many workspaces you can create.
If we decide to shut Contexel down, we will tell you at least 30 days ahead, so you can download your data.
Your content
"Your content" means what you, the people you share workspaces with, and your AI apps save in Contexel: memories, notes, documents, and copies of GitHub repositories you connect.
You own your content. These terms don't give us ownership of it. You give us permission (a license) to host, copy, index, search, back up and display your content, only as needed to run Contexel for you and to show it to the people and apps you give access to. That permission ends when your content is deleted, except for backup copies, which expire as our Privacy Policy describes.
AI distillation. Where AI distillation is on for a workspace, you also let us send the notes being filed to the AI provider shown for that workspace in the console (today, Anthropic), so it can turn them into tidy memories. A workspace owner can turn it off. Our Privacy Policy explains how it works.
What we don't do. We don't sell your content, we don't use it for advertising, and we don't use it to train AI models.
You're responsible for your content. You confirm that you have the rights to save it in Contexel and to let us handle it as these terms describe, and that saving it doesn't break any law or anyone else's rights.
Feedback. If you send us ideas or suggestions about Contexel, we may use them without owing you anything.
What you must not store
Contexel is not built for regulated or highly sensitive data. Don't save any of these in it:
Health information: protected health information under HIPAA, such as patient records. We don't sign business associate agreements, and Contexel is not HIPAA compliant.
Payment card data: card numbers, security codes or other cardholder data.
Government ID numbers: such as Social Security, passport or driver's license numbers.
Passwords and other credentials: passwords, private keys and access tokens.
Other specially regulated data: any other information that a law or regulation requires special security or handling for.
Contexel looks for some common secrets and blanks them out, but that is a safety net, not a guarantee. If you store any of this anyway, you are responsible for it and for any harm that results.
Acceptable use
Don't use Contexel, or let anyone else use it, to:
break the law, or store or share illegal content;
upload malware or anything else meant to cause harm;
harass, threaten or abuse anyone, or violate anyone's rights, including their privacy and intellectual property;
attack, overload or disrupt Contexel, or probe it for weaknesses (if you find a security problem, please report it to security@contexel.ai);
scrape or copy the service, or reach it by automated means other than the MCP server, the API and the tools we provide;
reverse engineer, decompile or take apart the service, except where the law allows it despite this term;
resell, rent or sublicense Contexel, or share your sign-in or access tokens instead of giving other people their own access in the console;
get around limits, access controls or security measures;
gather training data for an AI model, or build a competing service, from Contexel, what it returns, or other people's content.
If you break these rules, we may remove content or suspend access, as described in "Suspension and ending".
Your account and security
Accurate information: give accurate information when you sign up, and keep it current.
Keep secrets secret: keep your sign-in, your access tokens and your encryption keys private. You are responsible for what happens under your account and your tokens.
Your own encryption key: you can turn on encryption, and you can bring your own key instead of letting us keep one. If you bring your own key and lose it, we cannot recover your data. Keep a safe copy.
Tell us about problems: if you think someone has misused your account, a token or a key, revoke it in the console and email security@contexel.ai right away.
Your AI apps act for you: AI apps and agents you connect act on your behalf. You are responsible for what they save, change or delete in Contexel, as if you had done it yourself.
Organization accounts: if you use Contexel as a member of an organization, that organization's admins control your access to its workspaces.
Fees
Contexel is free during the beta. If we start charging, we will tell you first and show the prices. Nothing is charged unless you agree to a paid plan, and we will show you any extra terms for that plan before you agree.
Suspension and ending
You can stop at any time. Just stop using Contexel. To have your data deleted, delete your workspaces in the console, or email privacy@contexel.ai to delete your whole account, as our Privacy Policy describes.
We can suspend or end your access if you break these terms, if your use creates a risk for Contexel, its users or anyone else, if the law requires it, or if we stop offering Contexel. When it is reasonable, we will tell you first and give you a chance to fix the problem. We may act without notice when there is a serious risk, such as an attack or illegal content, or when the law requires it.
Getting your data out. If we end your access, we will keep your data for 30 days and help you download it, unless the law forbids it or you seriously broke these terms. After that, we delete it as the "How long we keep it" section of our Privacy Policy describes, including the backup copies it mentions.
The parts of these terms that by their nature should last after this agreement ends will last, including ownership, disclaimers, limits on liability, indemnity and governing law.
Other companies' services
Contexel works with services run by other companies: GitHub when you connect a repository, the sign-in service you choose (for example Google or GitHub, through WorkOS), the AI provider that runs AI distillation, and the AI apps you connect to Contexel, such as Claude, ChatGPT or Cursor. Your use of those services is governed by their own terms and privacy policies, not these. We are not responsible for them, including for what an AI app does with what Contexel returns to it.
Disclaimers
Contexel is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties about it, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and we don't promise that it will be uninterrupted, secure or free of errors, or that it will never lose data.
Contexel returns what was saved in it, and your AI apps decide what to do with that. Check important information before you rely on it. We are not responsible for decisions you or your AI apps make based on what Contexel returns.
Some places don't allow some of these disclaimers, so they may not all apply to you.
Limits on our liability
To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from these terms or Contexel, even if we were told they were possible.
Our total liability for all claims about these terms or Contexel is limited to the greater of the amount you paid us for Contexel in the 12 months before the event that caused the claim, or US$100.
These limits apply whatever the legal theory, whether contract, tort (including negligence) or anything else. They don't apply where the law doesn't allow them, for example to liability for fraud or for harm we cause on purpose.
If you use Contexel for a business
If you use Contexel for a business or other organization, you will defend us against any claim someone else brings against us, and pay the resulting losses and reasonable legal costs, to the extent the claim comes from your content, from your breach of these terms, or from misuse of Contexel by you or your AI apps. We will tell you about the claim promptly, let you control the defense, and help you reasonably, at your cost. You may not settle a claim in a way that admits fault for us or requires us to do anything, without our written agreement.
This section doesn't apply if you use Contexel only for personal purposes.
Changes to these terms
We may update these terms. When we do, we post the new version on this page with a new date and version.
For a material change, we will tell you by email or in the console at least 30 days before it takes effect, unless the law requires the change sooner, in which case we will give you as much notice as we can. Changes that don't reduce your rights, such as corrections and clarifications, take effect when we post them.
If you keep using Contexel after a change takes effect, you accept the new terms. If you don't agree, stop using Contexel and download your data before the change takes effect. When you sign in to the console, we record which version of these terms is in effect, once for each version and organization.
Governing law and disputes
California law governs these terms, without regard to its rules about conflicts of laws. Any dispute about these terms or Contexel will be decided only in the state or federal courts located in Sacramento County, California, and you and we agree to those courts' jurisdiction.
If you use Contexel as a consumer and the law where you live gives you rights that a contract can't take away, such as the right to bring a claim in your local courts, these terms don't take those rights away.
General terms
Entire agreement: these terms and our Privacy Policy are the whole agreement between you and us about Contexel, and replace any earlier agreement about it. If you and we sign a separate written agreement, such as for a paid plan or a data processing agreement, it wins where it conflicts with these terms.
If part is invalid: if a court finds part of these terms unenforceable, that part is limited as little as needed, and the rest stays in effect.
No waiver: if we don't enforce a term right away, we can still enforce it later.
Transfer: you may not transfer these terms to anyone else without our written consent. We may transfer them to a company that takes over Contexel, for example in a merger or sale, and we will tell you if we do.
Events outside our control: we are not responsible for delays or failures caused by events we can't reasonably control.
Export and sanctions: you may not use Contexel if United States law forbids us from providing it to you, for example because you are in a country under a US embargo or on a US government list of restricted parties.
Notices: we send notices to the email address on your account or in the console. Send legal notices to us by mail at 2108 N St #4624, Sacramento, CA 95816, USA, with a copy by email to privacy@contexel.ai.
California users: under California Civil Code section 1789.3, you can reach the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
